Technology and Training at IP3

At IP3, we believe there is a tremendous opportunity to integrate information and communication technology into education and training. In all of our Washington, D.C.-based courses, each participant is provided a new mobile Intel® Pentium® 4 or Celeron® laptop computer (as part of the course fees) that will be integrated into the learning process through the following:

  • Course materials provided via dedicated intranet site
  • Internet research and communication tools via broadband wireless (Wi-Fi) access in the classroom
  • Case study and simulation activities
  • All Action Plans will be completed and submitted electronically

After the course is concluded, access to course materials and discussion boards will be available for up to two months to facilitate worldwide networking and follow up with participants.

Course Learning Objectives

Government-owned and private enterprises in today's global market are facing the dual challenges of earning a relationship of trust with both their customers and their investors. Essential to this relationship is the ability to demonstrate to the public and the investment community that senior management understands the importance of providing accurate and reliable information in order to protect the interests of shareholders and consumers alike. As service providers are an essential element of the market economy, senior managers and Board members are being held to a higher standard in the domain of corporate governance and must be prepared to meet the challenges and the scrutiny the future holds.
Successful enterprises will be those that enact effective policies that enable shareholders and investors to make informed decisions and participate in a company's activities through transparent and clear corporate procedures. Boards of Directors and Senior Management must fully familiarize themselves with the tools and requirements of corporate governance to ensure compliance and instill confidence.


IP3's course, Corporate Governance Strategies for Public and Private Enterprises, is designed to prepare Utility executives for these forthcoming changes. Through presentations, case studies, and on-site meetings with leading public and private experts and institutional investors, participants will gain new knowledge and skills and bring these to bear in developing their own corporate governance Action Plan..

Module I:

Designing and Enforcing Corporate Governance Programs for Public and Private Enterprises

  • Understanding the main elements of corporate governance
  • Understanding the risks of non-compliance
  • Protecting the rights of minority shareholders
  • Developing strategies to counter vested interests, asset stripping, and corporate waste of resources
  • The role of corporate social responsibility in competitiveness
Module II:

Developing Corporate Governance Rules and Procedures

  • Redesigning a corporation's By-Laws
  • Conducting general shareholder's meetings
  • Defining roles, responsibilities, and functions of the Board of Directors and committees
  • Electing the board members and committee positions
  • Methods to achieve transparency in management and implementation of key company activities to include restructuring and share repurchase
Module III:

Disclosure for Public and Private Utilities: Mechanisms for Legal, Financial, and Accounting Reporting

  • Understanding the purpose and methods of disclosure
  • Financial reporting and composition of disclosure material under the International Accounting Standard Board (IASB)
  • Designing diligent auditing techniques and procedures
  • Creating a dividend policy and a communications plan to shareholders
  • Corporate governance requirements in order to access international finance
Module IV:

Integrating Regulatory Reform into the Long-Term Corporate Governance Strategy

  • Developing corporate governance codes for enterprises
  • Balancing between mandatory and voluntary regulatory structures
  • Designing laws and regulations to govern the relationships among corporate managers, entrepreneurs, and investors
  • Developing procedures to regulate securities markets and their impact on corporate governance
Module V:

Site Visits to Institutional Investors and Corporate Governance Specialists

Module VI:

Action Planning

Prior to completing the course, IP3 requires participants to complete an Action Plan detailing how they will apply their new knowledge and skills on-the-job. IP3 has developed a four-step process to guide participants in developing their action plans. Our expert faculty members conducts several action-planning sessions throughout the course to assist each participant to develop his/her plan. On the last day of the course, each participant will present his/her action plan to the group for peer review and comments.
